Hearing aids on the NHS

For as long as most of us can remember there has been a lengthy wait for a NHS hearing assessment and the subsequent fitting of NHS analogue hearing aid, with many people waiting many months to complete the process.
The more recent introduction of digital hearing aids has greatly improved the performance of modern hearing aids. However this has also lead to an increase in demand from new users and those looking to upgrade their current analogue hearing aids. There main area of concern is that the push to meet these new targets may result in a fall in the quality of the service offered.

Holding Investment Real Estate - LLC, Trust, Or Both?

The Issue: How to Hold Property in California?

Countless individuals invest in real estate every day. Some dream of becoming the next real estate mogul, while others simply wish to supplement their salary with additional income. Whatever your motivations, owning investment properties can produce big rewards, but also big problems. This is why it is important to hold title to your property in the most beneficial way. The internet is saturated with various posts and articles touting the most effective techniques to manage your property. It can often be a daunting task weeding through the mass of information in an attempt to discern what advice is reliable and what advice can get you into trouble. Our goal here is to provide a succinct and clear summary of the safest and most important strategies for holding investment property in California. The Risks of Owning Real Estate

As stated above, while property can be a valuable investment, there are also significant risks. One of the biggest risks is lawsuits. From common slip and falls, to environmental contamination, landlords and owners are easily exposed to legal judgments. Landlords have also been successfully sued by victims of crimes -- such as robberies, rape, and even murder -- that occur on their property on the theory that the landlord provided inadequate security.

Options for Holding Real Estate

Faced with the risk of lawsuits, it is crucial that you do not own investment real property in your own name. (The only real property you should hold in your own name is your primary residence.) Thankfully, there are several ways in which an individual can hold property other than in his/her own name. These include as a corporation, limited partnership, limited liability company ("LLC"), trust, and many others. While there are many options, when it comes to real estate investment, LLCs are the preferred entity by most investors, attorneys and accountants.

For many reasons, few investors hold investment real estate in C corporations. A corporation protects the shareholders from personal liability, but the double taxation of dividends and the inability to have "paper losses" from depreciation flow through to owners make a C corporation inappropriate for real estate investments.

In the past, partnerships and limited partnerships were the entities of choice for real estate investors. Limited partners were protected from personal liability while also being able to take passed through tax losses (subject to IRS rules--you'll need an accountant or attorney to sort out the issues of at-risk limitations and so on) from the property. However, the biggest downfall with limited partnerships was that someone had to be the general partner and expose himself to unlimited personal liability.

Many small real estate investors also hold property in a trust. While a living trust is important for protecting the owner's privacy and provides valuable estate planning treatment, the trust provides nothing in the area of protection from liability. However, although a trust provides no liability protection, it should not be overlooked, as it can easily be paired with an LLC.

1. Benefits of a LLC

LLCs appear to be the best of all worlds for holding investment real estate. Unlike limited partnerships, LLCs do not require a general partner who is exposed to liability. Instead, all LLC owners -- called members -- have complete limited liability protection. LLCs are also superior to C corporations because LLCs avoid the double taxation of corporations, yet retain complete limited liability for all members. Furthermore, LLC's are rather cheap and easy to form.

A. One LLC or Multiple LLCs?

For owners of multiple properties, the question arises whether to hold all properties under one LLC, or to create a new LLC for each additional property. For several reasons, it is generally advisable to have one LLC for each property.

First, having a separate LLC own each separate property prevents "spillover" liability from one property to another. Suppose you have two properties worth $500,000 and they're held in the same LLC. If a tenant is injured at property 1, and wins a $750,000 judgment, he will be able to put a lien on both properties for the entire $750,000 even though property 2 had nothing to do with the plaintiff's injury.

On the other hand, if each property had its own LLC, then the creditor could only put a lien on the property where the plaintiff was injured (assuming that they cannot pierce the corporate veil).

Additionally, many banks and lenders require separate LLCs for each property. They want the property they're lending against to be "bankruptcy remote". This means that the lender doesn't want a problem at a separate property to jeopardize their security interest in the property that they're lending on.

2. Benefits of a Trust

As stated above, an LLC may be used concurrently with a trust to provide the best protection and estate treatment for your property. There are many types of trusts, but the revocable living trust is probably the most common and useful for holding title to real estate. The major benefit from holding property in a trust is that the property avoids probate after your death. As many are aware, probate is a court-supervised process for transferring assets to the beneficiaries listed in one's will. The advantages of avoiding probate are numerous. Distribution of property held in a living trust can be much faster than probate, assets in a living trust can be more easily accessible to the beneficiaries of the trust, and the cost of distributing assets held in a living trust is often less than going through probate. [Note: One should also be aware of other ways to avoid probate. For instance, property held in joint tenancy with a right of survivorship automatically avoids probate whether or not the property is in the living trust. Consult an estate planning attorney for more advice regarding probate matters.]

3. Use Both an LLC and a Trust

Because an LLC and a trust both provide significant benefits to the owner of real property, a smart investor should consider using both a LLC and a trust to adequately protect himself and his property. Utilizing both a trust and a LLC creates the best combination of liability protection and favorable estate planning. To accomplish this, the owner should hold the investment property in a single member LLC, with the living trust as the sole member of the LLC. Here, the trust is the owner of the company and holds all of the interests of the LLC. This form of ownership gives you an added layer of protection from the LLC as well as the additional estate planning benefits of a trust.

A. Costs

For the most part, the costs of forming and maintaining an LLC and trust are rather minimal. For an average LLC, the costs are simply nominal filing fees and an $800 per/yr fee to the state of CA. While simple incorporations may be done on your own, it is strongly advised that you seek the advice of a knowledgeable attorney so that no mistakes are made. The same may be said for forming a trust. A little money now is worth the price of avoiding big problems in the future.

B. The CA LLC Fee

While the costs of forming a LLC are generally small, there are additional fees that may be imposed on LLCs in California depending on gross profits. The California Revenue and Taxation Code Section 17942(a) includes an additional fee on LLCs if total gross income (i.e. rent) exceeds $250,000. "Total gross income" refers to gross revenues (not profits). Under this Tax Code Section, the amount of the fee is determined as follows:

1. $0 for LLCs with total gross income of less than $250,000;
2. $900 for LLCs with total gross income of at least $250,000 but less than $500,000;
3. $2,500 for LLCs with total gross income of at least $500,000 but less than $1,000,000;
4. $6,000 for LLCs with total gross income of at least $1,000,000 but less than $5,000,000; and
5. $11,790 for LLCs with total gross income of $5,000,000 or more.

Although the fee is relatively small, one must consider that the fee is assessed against gross revenues, not profits. This means that the fee is due whether or not your property is profitable. For a property with high revenues but narrow profit margins, the fee would reflect a higher portion of the property's profitability than it would on a property that is highly profitable. For example, a company that owns an office building with revenues from rent totaling $1 million, but a mortgage of $995,000, would actually operate at a loss after the $6,000 fee was imposed. Furthermore, the fee would be particularly irksome for those companies that foresee incurring losses in their early stages of development.

4. Limited Partnership: a Possible Strategy if Gross Receipts Exceed $250,000

For the vast majority of investors, the CA LLC fee should not dissuade you from forming an LLC. If, however, the impact is severely detrimental, there are several potential solutions that may be explored. A competent attorney or accountant may be able to work with you to avoid this fee. One method may be to form a Limited Partnership. The partnership should be set up with an LLC as the General Partner (assuming liability) and the owner(s) of the property as the limited partner(s). By forming a limited partnership with an LLC acting as the general partner, the landlord can likely avoid the higher fee imposed on an LLC while still protecting his/her personal liability. While this may be a possible solution, it is strongly recommended that you consult with an attorney or accountant regarding the best course of action.

While there are risks associated with real estate, with intelligent decision-making and thoughtful preparation, real property can be a valuable investment. The first step though, is to make sure that you have adequately protected yourself and your property. Dog Health Questions With a Common Answer

As a homeopath, I understand what we call 'maintaining causes' of disease. In other words health problems can not only be caused by an event such as an accident or be hereditary in origin, but it can also be caused by something you're doing every day.

Let me give you some examples. If you smoke regularly, it's widely known that you'll probably eventually get lung problems. If you've had a job which entails handling and cutting asbestos, you'll probably have lung problems later on. If you regularly drink a lot of alcohol, you know your liver will eventually be affected.

Diet plays a crucial part in health. Most people realize that they need to look to healthy food to keep them in the peak of condition.

You are what you eat. It's not the only factor which can contribute to ill health, but by virtue of its daily consumption, food plays an enormous role in your overall health. And it's no less true for dogs. What you feed your dog will reflect how healthy he is and how healthy he remains.

When I was feeding my pets commercial pet food, many years ago, I read of a remarkable life changing experience for a young dog. She was only about three years old, but had developed such severe arthritis, that the vet recommended euthanasia. The dog's people were not happy with this recommendation and decided to look elsewhere. They searched extensively and eventually come across the notion that the food they were feeding her could be the problem. So they stopped feeding her commercial pet food.

One day, a friend dropped by. One who knew the dog and the prognosis. As he crossed the yard to the house, he noticed an agile dog playing and frolicking about, as only young dogs can. Assuming the worse, he started to give his condolences. He was gobsmacked when he was told that this was the very same dog.

That's when I decided to stop feeding my pets commercial pet food.

It really doesn't matter what dog health questions you have. It could be anything. The first thing you really need to try is stopping the commercial dog food. If you're a bit unsure, try it for a month. After an initial worsening of symptoms (signally a clearing), especially in older dogs, your dog will start to bloom.

What have you got to lose?

It's really pointless going for a medication or other form of treatment if the food your dog is given is the problem. So lets have a look at some common dog health questions, which may all be addressed by stopping the commercial pet food.

Craigslist, Yellow Pages, And Web Directory Lists As Information Providers

In the space of a few years, phone books have lost out on popularity. Of course, let me not count the occasion when my husband left the toilet paper roll on the floor, directly beneath the waiting empty roll, for the 72nd time in a row. But for its actual use of providing information to me, I cannot remember when I last used it. In this day and age my computer is always so much closer than the phone book, although I must admit, it is much harder to throw across a room when frustrated. But yet I keep the thing around, try to camouflage the ugly machine with my decor or what have you. I have to keep it out and in plain sight for the whole world to agree that yes; I have a phonebook available for your information pleasure. Heaven forbid I lose another useless monstrosity. Right, because something that is 6 inches thick and could be injurious when thrown appropriately could be lost easily. But seriously, do you think I know where it is? No, because I never use it. Just about anything that I need from it can be found on the Internet. The people that want to be found will be in the phone book, but I can look for them online as well. And if they don't want to be found, well, I am not going to find them in either place. But every year, Bell without fail drops one off at the end of my driveway, and within minutes, it ends up - somewhere - just in case I have an immediate phone number emergency where 911 does not apply (I have that one memorized, anyway).

Gone are the days of letting our fingers do the walking through the Yellow Pages. In fact, the ubiquitous Yellow Pages are on the Internet as well. The Yellow Pages can't be knocked; they still remain one of the most useful information services out there. When looking for local information on businesses or services, it is my most preferred destination. But I don't intensify my strength training program by flipping through hard copy information. I log on. In fact, it is faster for me to find out about my pizza place on the Internet than to find the phone number in the book. Also, with the advent of sites like Craigslist or web directory sites, I have many more options available to me within seconds if I need information. Craigslist and web directories operate very similarly to the Yellow Pages, with a few extras. Craigslist is primarily a classified ad site, but it can give a whole lot of useful information. Not only can I find local business information, but can also look for housing (which will come in handy for my husband if he attempts the toilet roll conundrum one more time), look for work, social activities, or whatever other community classifieds information you might want. What makes it even better is that I will be free from the attack of the ads while I am doing so, as I am in so many other places on the Internet.

In fact, Craigslist is so easy to use, and now, very much in demand, having over 15 million users a month, that even my online Yellow Pages are becoming archaic. The information on Craigslist is also current information, which does not always hold true for the Yellow Pages, online or otherwise. And now, with eBay controlling some of its shares, it is doing very well even in the presence of big players like Google and Yahoo. The Best GPS System - How Do You Figure This Out?

Finding the best GPS system is like buying the perfect car. It's all relative -- to you! The perfect car for me would have to be able to survive two rowdy kids, a dog, sometimes two cats, and a wife who routinely picks up junk (Oh, excuse me, they're called collectibles) on the side of the road. It would have to be roomy and maintenance free. For someone else, the perfect car would only need two seats, a rag top, and be able to do 120 mph easily.

In order to find the best GPS system, you have to first understand what they generally do and what are the usual features, then define what you want it for.

By GPS systems, I'm specifically talking about the after-market car variety. You know, the kind you see perched on people's windshields at the grocery store. I'm not talking about the in dash kind that come with some cars, nor am I considering the hand-held varieties you would take on a long hike. The after-market systems are usually called portable GPS receivers, or systems, and that's what I'll call them here.

Basically, all of these portable GPS receivers do exactly the same thing. They show you where you are on an electronic map, and they tell you how to get where you want to go, be it down the street or somewhere across the country.

All GPS systems work off of the same network of satellites that ring the earth, and most of the portable ones even use the same types of receivers. So, the differences between makes and models are not in how they work or what they do, fundamentally, but in the bells and whistles that come with them.

Virtually all GPS systems come with the following:

  • Voice prompts that tell you where to turn
  • Touch screen
  • Large database of "Points of Interest" (locations of hospitals, ATMs, McDonalds, etc.)
  • Choice between 2D "map view" and 3D "bird's eye" views
  • Automatic route calculation
  • Choice between shortest and fastest routes
  • Come preloaded with maps of the 48 states

The main optional features to consider when buying a GPS system are these:

  • Does it actually say the names of the street you need to turn on as you approach it?
  • Do you need a widescreen version (4.3-inches diagonally as opposed to 3.5-inches)?
  • Do you need maps of Canada, Mexico, and/or Europe?
  • Does it support Bluetooth technology, which allows you to use your GPS system in conjunction with your cell phone to make hands-free calls? (Which essentially makes it a windshield mounted version of those little ear clips people walk around with.)
  • Can you enter multiple routes into the unit and have it calculate the best route to get to all of them? Say you were in an unfamiliar city and you wanted to go to the cleaners, the grocery store, the movies, and a local dentist all on one trip. Could the GPS system calculate the shortest possible route to get to all of these?
  • Does it have real-time traffic and weather report capability, and can it use that information to re-route you around traffic jams?
  • Can you use your device to listen to music (mp3) or to look at digital pictures?
  • How big is the Points of Interest database?

There are a few other features that major manufacturers include. Magellan, for instance, has hooked up with AAA to offer their Tourguide information actually on the GPS itself. Tom Tom has this neat feature where users can make map changes and upload those to Tom Tom's computer database which makes them available for everyone else. And Garmin is coming out with a new unit in 2008 that will learn to recognize your voice so you can enter commands by speaking instead of typing on the touch screen.

So, in order to find the best GPS device for you, you need to first decide which of these optional features are necessary, and which you might like if you can afford it.

You can get a basic GPS system for under $200. The Garmin nuvi 200, for example, has all of the basic features I listed above. It comes preloaded with regional maps (not the entire United States). If you want to spend slightly more, how about the Tom Tom One, 3rd edition, which at the time of these writing (early '08) costs slightly less than $200 at Amazon and comes with real time traffic capability and Tom Tom's MapShare (where you can uploaded changes).

Virtually all of the Magellan Maestro series is currently in the $200 to $400 range. You can get the more basic 3210 for around $250, which has millions of points of interest and, of course, the AAA Tourbook, or you can spend about $100 more and get the 4250, which includes all that the 3210 does and adds Bluetooth, voice recognition, and real-time traffic.

One of the most popular units is the Garmin nuvi 350, which does all the nuvi 200 does, but includes Garmin's "Travel Kit", mp3 capability, picture viewer, world travel clock, calendar, and more.

Supporter of Gregory Reyes on his Court room Trial

I am writing in support of Greg Reyes to urge leniency in your sentencing. With all deference, he has suffered enough.

I am a corporate securities lawyer and have practiced law for 33 years since graduating from UCLA School of Law in 1974. I was (he first woman partner at Wilson Sonsini Goodrich & Rosati where I worked for 21 years, leaving in 2001. (I am not writing this letter on behalf of Wilson Sonsini. I am writing on behalf of Greg.) I am presently Executive Vice President, International Strategy & General Counsel at Obopay, a start-up company in the Bay Area which provides a mobile payments service. I have worked in the Silicon Valley for all of my career. While at Wilson Sonsini, I represented many companies, from start-ups to Fortune 100, including Sun Microsystems, LSI Logic, Coherent, VA Linux and many others. I have worked with hundreds of CEOs and executives of all types.

I represented Greg's father for approximately 21 years and got to know Greg during that period. In approximately 1994 (I can't remember the exact dates), Greg asked me to represent Wireless Access of which he was CEO. I worked closely with him from approximately 1994 to 1996 or 1997 and would have continued to work with him when he joined Brocade had I not represented a competitor. Greg was a very talented and effective CEO and worked tirelessly to make the business successful. His team respected him and he was a good leader. He cared a lot about the people who worked for him and they knew it. He lived and breathed the business, consulted with his Board regularly and constructively. He frequently expressed his desire to do what was in the best interests of his employees and shareholders. During the time I worked with him, he always acted ethically; I never saw him cross the line. He listened to advice, engaged in discussion to understand the advice, but he always took the advice given.

While I represented Greg his children were born. There has never been a more loving and caring father. He was so proud of them. He has also always been devoted to Penny and despite these difficult last few years, has provided strength and support to his family. This experience has humbled him greatly and nearly broken his spirit I think he has made it through because his family, especially his children, needs him to be strong.

I would like to relate a story about Greg which I believe reflects accurately Greg's character. In 1995 my son, Connor, was in 5th grade and needed to do a school project m which he interviewed someone, wrote an essay and then gave a speech in class about what he had learned. Greg agreed to be the interviewee. He spent an entire afternoon with Connor teaching him about wireless paging technology, dug up information for Connor to help him with his report, had his executives describe the technology and gave Connor a pager to bring to class. During Connor's presentation Connor sent Greg a page and Greg paged him back. The class (and teacher) loved it The pager was a huge hit (remember that this was before cell phones were ubiquitous) The experience made a huge impression on Connor and for many years after that Connor told everyone that he wanted to be a CEO like Greg Reyes. This was one of those simple experiences where someone takes time to help a kid that changes the kid's life. I will always be grateful to Greg for taking time out of his busy schedule to help my 12 year old son. The truth is, I think Greg loved doing it. He loves kids and enjoys helping them.

I have known Greg well for many years. While the jury may have found him guilty, I believe Greg believed that he was acting in the best interests of the company He is hard driving CEO who wants to succeed but I can't believe that he would intentionally break the law. Greg has already been punished severely and he faces yet more legal difficulties. I urge you to be lenient.

When you have an email list of subscribers who have specifically agreed that you send emails to them, you have an asset that can be leveraged over and over again. You can use that email list to drive traffic to different websites and sales pages again and again and this is why you must cherish your list like an apple of your eye. The better you treat your list, the better the return will be when you want it.

To have a very profitable email list, you should simply build a relationship with your subscribers. You want them to like you, feel like they know you, feel comfortable buying from you and most importantly you want them to look forward to and enjoy reading your emails.
